You are responsible for ensuring that all content, data, branding assets, and instructions you provide may lawfully be used by us for the engagement. Delays in providing information, approvals, or access may affect timelines, milestones, and delivery dates.

5. Fees and Payment

Fees are payable as set out in the applicable proposal, quotation, invoice, statement of work, or other written agreement. Unless otherwise agreed in writing, invoices are due on receipt. We may require an upfront deposit, milestone payments, or full prepayment before commencing work or scheduling services. Late payments may result in suspension of services, withholding of deliverables, or delays in project progress. Unless otherwise stated in writing, all fees paid are non-refundable once work has been scheduled, advisory time has been reserved, or services have commenced.

6. Founder Advisory and Consulting Services

Founder advisory, consulting, and strategy engagements are professional support services intended to provide guidance, analysis, accountability, and structured decision support. We do not guarantee any specific commercial, legal, financial, fundraising, operational, or product outcome. Any decisions made by the client remain the client’s sole responsibility.

7. Intellectual Property

Unless otherwise agreed in writing, all pre-existing intellectual property, tools, frameworks, libraries, templates, methodologies, know-how, and materials owned or developed by us before or outside the engagement remain our property. Subject to full payment of all applicable fees, the client will own the final custom deliverables specifically created for the client under the engagement, except for any third-party software, open-source components, pre-existing materials, or items expressly excluded in writing.

We may use general knowledge, skills, experience, ideas, concepts, and techniques retained in unaided memory in future work, provided that we do not disclose the client’s confidential information.

8. Confidentiality

Each party agrees to keep confidential any non-public information disclosed by the other party in connection with the engagement and to use such information only for the purposes of performing or receiving the services. This obligation does not apply to information that is publicly available, lawfully obtained from a third party without breach of confidence, independently developed, or required to be disclosed by law or court order.

9. Third-Party Services and Dependencies

Our services may involve or depend on third-party platforms, hosting providers, APIs, payment processors, libraries, software tools, or service providers. We are not responsible for the acts, omissions, outages, policy changes, pricing changes, or service interruptions of any third party. Any third-party terms, fees, subscriptions, or licenses remain the client’s responsibility unless expressly included in writing.

10. Warranties and Disclaimers

We will perform our services with reasonable care and skill. Except as expressly stated in writing, all services, deliverables, and website content are provided on an “as is” and “as available” basis. We do not warrant that services will be uninterrupted, error-free, or suitable for every specific business objective, nor do we guarantee that any software, website, or system will be entirely free from bugs, vulnerabilities, or downtime.

11. Limitation of Liability

To the fullest extent permitted by law, Dacion Technologies Ltd. shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of revenue, profit, opportunity, goodwill, business interruption, or data, arising out of or in connection with your use of this website or our services. Our total aggregate liability for any claim arising out of or relating to the services shall not exceed the total fees actually paid to us by the client for the specific services giving rise to the claim.

12. Suspension and Termination

We may suspend or terminate services if the client fails to make payments when due, breaches any material term of the agreement, provides unlawful materials or instructions, or otherwise prevents reasonable performance of the services. Either party may terminate an engagement in accordance with the applicable written agreement or, if no separate written termination terms apply, on reasonable written notice. Accrued payment obligations and provisions which by their nature should survive termination will remain in effect.

13. Changes to These Terms

We reserve the right to update or amend these Terms & Conditions from time to time. Any updates will be posted on this website. Continued use of the website or our services after such updates constitutes acceptance of the revised Terms & Conditions.
